Terms of Service

These Terms of Service ("Terms") govern your use of Nexplora — the website at nexplora.ai, the Nexplora apps, and the NX assistant (together, "the Service") — provided by Nexplora LLC ("Nexplora," "we," "us"). By creating an account or using the Service you agree to these Terms and to our Privacy Policy. If you do not agree, do not use the Service.

1. The Service

Nexplora is an AI assistant for running work and a business. You give it instructions in plain language and it carries them out — including in third-party accounts you choose to connect (for example Google, Facebook, Instagram or Threads). Features change over time; some are in beta and are marked as such.

2. Accounts

  • You must be at least 18 years old (or the age of majority where you live) to create an account.
  • Give accurate sign-up information and keep your password secure. You are responsible for activity under your account.
  • Tell us right away at [email protected] if you think someone accessed your account without permission.
  • If you use the Service for an organization, you confirm you are allowed to bind it to these Terms.

3. Connected accounts and third-party services

When you connect a third-party account you authorize Nexplora to access it, within the permissions you grant on that provider's consent screen, to do what you ask. You confirm that you own the account or are authorized to connect it, and that your instructions comply with that provider's terms. Your use of those services is also governed by their own terms:

Third-party services are not controlled by Nexplora. They can change, limit or stop their APIs, which can change what Nexplora can do. You can disconnect any account at any time (see Data deletion).

4. Approvals and AI output

Actions that send, post, publish, share or delete on your behalf, move money, or change access are shown to you for approval before they run. Approve only what you intend. Answers, drafts and summaries are generated by AI and can be wrong or incomplete — review them before you rely on them, especially for legal, financial, medical or other important decisions. You are responsible for the instructions you give and for actions you approve.

5. Acceptable use

You agree not to use the Service, or any connected account through it, to:

  • break the law, infringe others' rights, or violate a connected provider's terms or policies;
  • send spam or unsolicited bulk messages, or post deceptive, harassing, hateful or sexually exploitative content;
  • access accounts, data or systems you are not authorized to access, or collect other people's data without a lawful basis;
  • probe, overload or disrupt the Service, bypass its limits or approvals, or reverse-engineer it except where the law allows;
  • build a competing dataset or model from the Service's outputs at scale, or resell access without our written permission.

We may suspend or limit accounts that break these rules or put other users or providers at risk.

6. Your content

You keep all rights to the content you put into the Service and to the data in your connected accounts. You give Nexplora a limited license to host, process and transmit that content only to provide the Service to you, as described in the Privacy Policy. We do not use data from your connected Google or Meta accounts to train our own AI models or general AI models. Nexplora keeps all rights to the Service itself (its software, design and brand).

7. Plans, credits and payment

Some features need a paid plan or usage credits. Prices are shown before you buy. Payments are processed by our payment processor; we do not store full card numbers. Unless the checkout page says otherwise, subscriptions renew until cancelled, and you can cancel any time with effect at the end of the current period.

8. SMS / text messaging program

Nexplora (NX) offers an optional two-way SMS program. It is user-initiated and conversational: you opt in by linking your phone number in the app and by texting our number first, and NX replies to your messages. This is not a marketing program. Message frequency varies based on your interaction. Message and data rates may apply. Reply HELP for help or STOP to opt out at any time; you can also opt out in the app. Your carrier is not liable for delayed or undelivered messages. For support, email [email protected].

9. Ending your use

You can stop using the Service and delete your account at any time (see Data deletion). We may suspend or end access if you materially breach these Terms, if required by law, or if a connected provider requires it. Sections that by their nature should survive (for example 6, 10, 11 and 12) survive.

10. Disclaimers

The Service is provided "as is" and "as available." To the fullest extent the law allows, we disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose and non-infringement, and we do not promise the Service or any third-party API will be uninterrupted or error-free.

11. Limitation of liability

To the fullest extent the law allows, Nexplora is not liable for indirect, incidental, special, consequential or punitive damages, or for lost profits, revenue or data. Our total liability for any claim about the Service is limited to the greater of the amount you paid us in the 12 months before the claim or US $100.

12. Governing law

These Terms are governed by the laws of the State of New York, USA, without regard to conflict-of-law rules. Disputes will be resolved in the state or federal courts located in New York, and you and Nexplora consent to their jurisdiction, except where the law of your country of residence requires otherwise.

13. Changes

We may update these Terms. If a change is material we will tell you in the app or by email before it takes effect. Continuing to use the Service after the effective date means you accept the updated Terms.
